1. Acceptance & Ownership

By registering, accessing, or using the WatNeo platform, its dashboards, or associated API gateway integrations, you agree to comply with and be bound by these Terms & Conditions. WatNeo is a proprietary digital product developed, operated, owned, and managed in its entirety by MS Digital Consultant (herein referred to as "MS Digital Consultant", "Company", "We", or "Us"). If you do not agree to these terms, you must cease using our portal immediately.

2. Service Description

WatNeo acts as a setup helper, analytics interface, and campaign manager connecting your custom workspace with the official Meta WhatsApp Business Cloud API. We operate under a prepaid, pay-as-you-go model with zero monthly subscription fees. Standard delivery logs, templates approval channels, and webhook responses are provided inside the client workspace interface.

3. Account Registrations & KYC Verification

To activate and maintain your messaging workspace, you must provide valid business registration records, GST details, PAN cards, and verified email/phone details. MS Digital Consultant reserves the right to reject onboarding applications or suspend accounts containing fake profiles, invalid details, or test entries designed to bypass verification.

4. Acceptable Use & Anti-Spam Policy

You must strictly adhere to Meta's official WhatsApp Business Policy. We enforce a zero-tolerance policy against spam, unsolicited broadcasts, and malicious scripts.

• You shall not send messages to users who have not opted in or who have requested to opt out.
• You shall not promote prohibited goods or services including weapons, recreational drugs, adult content, gambling, and tobacco products.
• Violations will trigger immediate account suspension and forfeiture of any remaining wallet balance.

5. Wallet Credits, Recharges & Taxation

Recharges to your portal wallet are paid in advance. Wallet credits are used to cover the costs of messaging campaigns, billed at Meta's standard utility/marketing rates plus our minimal processing fees. All transactions are billed under MS Digital Consultant. Applicable GST will be collected and deposited as per regulations. Wallet credits have no expiration limit as long as the account remains active.

6. Disclaimers & Limitation of Liability

WatNeo is provided on an "as-is" and "as-available" basis. MS Digital Consultant does not guarantee uninterrupted service. We are not liable for campaign delivery delays, blockages, or financial losses arising from:

• Meta Cloud API outages, downtime, or policy changes.
• Suspension of your Meta WhatsApp Business Account (WABA) or phone number by Meta due to poor quality scores or user reports.
• Network latency or incorrect configuration of developer keys by client administrators.

7. Governing Law & Jurisdiction

These terms are governed by and construed in accordance with the laws of India. Any legal disputes or claims arising out of the use of WatNeo services shall be subject to the exclusive jurisdiction of the courts located in Agra, Uttar Pradesh, India.
